This Purchase Order is issued by Siam Horizon Development Co., Ltd. (hereinafter referred to as the "Buyer") to Apex Project Management Solutions (Thailand) Ltd. (hereinafter referred to as the "Supplier") for the engagement of a senior Project Manager to oversee and deliver the "Bangkok Riverside Commercial Complex" construction and development initiative. The Project Manager shall be physically stationed in Thailand Bangkok for the entire duration of the contracted engagement and shall report directly to the Buyer's Chief Operating Officer based at the Siam Tower headquarters in Pathum Wan, Bangkok.

The Project Manager engaged under this Purchase Order shall perform the following duties while operating out of Thailand Bangkok:
- Develop and maintain a comprehensive project schedule aligned with the Buyer's master programme for the Bangkok Riverside Commercial Complex, ensuring all milestones comply with Thai construction regulations and local Bangkok municipal bylaws.
- Coordinate all subcontractors, consultants, and government agencies (including the Bangkok Metropolitan Administration) to ensure seamless project execution within the Thailand Bangkok jurisdiction.
- Manage the project budget not exceeding THB 480,000,000, providing monthly financial variance reports to the Buyer's finance department in Bangkok.
- Conduct weekly progress meetings at the Buyer's Pathum Wan office and bi-weekly site inspections at the Khlong Toei construction location.
- Ensure full compliance with the Thai Labour Protection Act B.E. 2541, the Thai Occupational Safety Health Act, and all applicable regulations enforced within Thailand Bangkok.
- Maintain a risk register and implement mitigation strategies specific to the Bangkok construction environment, including monsoon-season planning and urban traffic management.
- Prepare and submit all required documentation to Thai regulatory bodies, including the Department of Business Development and the Bangkok Metropolitan Administration's building control division.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order relating to the Project Manager's engagement in Thailand Bangkok shall be resolved through arbitration under the rules of the Thai Arbitration Institute, with the seat of arbitration in Bangkok.
- Payment Schedule: The Buyer shall remit payment to the Supplier within thirty (30) calendar days of receipt of a valid invoice. Payments shall be made via bank transfer to the Supplier's designated account at Kasikornbank, Siam Square Branch, Bangkok, Thailand. All amounts are denominated in Thai Baht (THB) and are subject to applicable Thai Value Added Tax (VAT) at 7%.
- Commencement Date: The Project Manager shall commence duties no later than 1 August 2025 at the Buyer's office in Pathum Wan, Bangkok. The Supplier shall ensure the Project Manager is fully available and has completed all onboarding procedures prior to this date.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered by the Project Manager up to the effective date of termination, calculated on a pro-rata monthly basis.
- Confidentiality: The Project Manager shall maintain strict confidentiality regarding all proprietary information, architectural drawings, financial data, and strategic plans of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Insurance: The Supplier shall maintain professional indemnity insurance with a minimum coverage of THB 10,000,000, valid throughout the duration of the Project Manager's engagement in Thailand Bangkok. Certificates of insurance shall be provided to the Buyer upon request.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting Thailand Bangkok, government-imposed lockdowns, or acts of war, provided that the affected party notifies the other within seven (7) days of the occurrence.
- Intellectual Property: All project documentation, reports, schedules, and deliverables produced by the Project Manager in the course of this engagement shall be the exclusive property of the Buyer. The Supplier and the Project Manager shall not retain copies or use such materials for any other purpose without prior written consent.
- Subcontracting: The Supplier shall not subcontract or delegate any portion of the Project Manager's responsibilities without the prior written approval of the Buyer. The Project Manager named in this Purchase Order shall remain the primary point of contact throughout the engagement in Thailand Bangkok.
- Amendments: Any modification to this Purchase Order, including changes to the Project Manager's scope, duration, or compensation, must be documented in a written amendment signed by authorized representatives of both parties and registered with the Buyer's procurement department in Bangkok.
