- Governing Law: This Purchase Order and the resulting service agreement shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Istanbul, Turkey.
- Place of Performance: All services under this Purchase Order shall be performed at the Buyer's premises located in the Levent district of Istanbul, Turkey, unless otherwise agreed in writing. The Project Manager is expected to be physically present at the Istanbul office a minimum of four (4) days per week.
- Payment Schedule: Invoices shall be submitted on the last working day of each calendar month. Payment shall be made via bank transfer to the Seller's designated account in Istanbul within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate prescribed by the Turkish Commercial Code.
- Confidentiality: The Project Manager shall execute a non-disclosure agreement (NDA) in compliance with Turkish Law No. 5846 on Intellectual and Artistic Works and the Personal Data Protection Law (KVKK, Law No. 6698) before commencing any work in Istanbul.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Seller shall be compensated for all services rendered up to the effective date of termination, and the Project Manager shall complete a full handover of all project documentation to the Buyer's Istanbul team.
- Compliance: The Seller warrants that the Project Manager engaged under this Purchase Order holds all necessary professional qualifications, valid work permits (if applicable), and social security registrations required to perform services in Istanbul, Turkey, in full compliance with local labor and immigration regulations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Istanbul metropolitan area.
- Amendments: Any modification to this Purchase Order, including changes to the Project Manager's scope, duration, or compensation, must be documented in a written amendment signed by authorized representatives of both parties and registered with the relevant Istanbul trade registry if required.
