The Project Manager shall be physically stationed in Abu Dhabi, United Arab Emirates, for the duration of the engagement and shall report directly to the Buyer's Chief Executive Officer. The Project Manager is expected to possess a minimum of ten (10) years of experience in large-scale civil infrastructure projects within the United Arab Emirates, with demonstrated proficiency in FIDIC contract administration, stakeholder management, and compliance with Abu Dhabi municipal and federal regulatory frameworks.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific regulations applicable in Abu Dhabi. Any disputes arising from this Purchase Order shall be resolved through arbitration under the Abu Dhabi Global Market (ADGM) Arbitration Centre.
2. Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. Payments shall be made via bank transfer to the Supplier's designated account in Abu Dhabi, United Arab Emirates. The Project Manager's monthly retainer shall be invoiced on the first business day of each calendar month.

Failure to meet critical milestones for two (2) consecutive reporting periods shall entitle the Buyer to terminate this Purchase Order with immediate effect upon written notice.
4. Confidentiality: The Project Manager and the Supplier shall maintain strict confidentiality regarding all project data, proprietary information, and commercial terms associated with this Purchase Order. This obligation shall survive the termination or expiry of this Purchase Order for a period of three (3) years.
5. Compliance: The Supplier and the assigned Project Manager shall comply with all applicable United Arab Emirates federal and Abu Dhabi emirate-level regulations, including but not limited to labour law, data protection directives, and anti-bribery statutes. The Project Manager must hold a valid UAE residence visa and work permit for the entire duration of this Purchase Order.
6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies as declared by the United Arab Emirates authorities.
7. Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered by the Project Manager up to the effective date of termination, less any applicable deductions for incomplete deliverables.
8. Intellectual Property: All project documentation, reports, plans, and deliverables produced by the Project Manager in the course of this Purchase Order shall be the exclusive property of the Buyer upon full payment.
