1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Civil Transactions Law and the Dubai Commercial Regulations. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts.
2. Project Manager Qualifications: The Project Manager assigned under this Purchase Order must hold a minimum of ten (10) years of experience in large-scale construction and infrastructure projects in the United Arab Emirates Dubai region. The Project Manager must possess a PMP (Project Management Professional) certification and a valid UAE professional visa. A minimum degree in Civil Engineering, Construction Management, or a related discipline from an accredited institution is required.
3. Payment Terms: Payment shall be made on a monthly basis within thirty (30) calendar days from the date of invoice submission. The first payment shall be due upon successful onboarding and commencement of the Project Manager's duties. 4. Performance Standards: The Project Manager shall adhere to the project schedule, budget, and quality benchmarks as defined in the attached Statement of Work (SOW). Failure to meet key performance indicators (KPIs) for two consecutive months shall entitle the Buyer to issue a formal notice of default, and continued non-performance may result in termination of this Purchase Order with thirty (30) days' written notice.
5. Confidentiality: The Project Manager and the Supplier shall maintain strict confidentiality regarding all project data, architectural drawings, financial records, and proprietary information of Gulf Horizon Development LLC. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Insurance and Liability: The Supplier shall maintain professional indemnity insurance with a minimum coverage of AED 5,000,000 and comprehensive general liability insurance valid throughout the United Arab Emirates Dubai jurisdiction for the entire duration of the engagement.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall be compensated for all services rendered up to the effective date of termination.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the United Arab Emirates Dubai region.
9. Anti-Corruption: Both parties warrant compliance with the UAE Anti-Corruption Law (Federal Decree-Law No. 20 of 2016). Any violation shall constitute grounds for immediate termination of this Purchase Order and legal action.

The Project Manager shall commence duties no later than 1 July 2025 at the project site located at Plot 45, Dubai Marina, Dubai, United Arab Emirates. The Supplier shall ensure that the Project Manager is fully mobilized, equipped with all necessary tools, software licenses (including Primavera P6, MS Project, and AutoCAD), and site access credentials prior to the commencement date.
