- This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham.
- The Project Manager engaged under this Purchase Order must hold a valid PRINCE2 Practitioner or PMP certification and a minimum of ten (10) years of demonstrable experience in large-scale infrastructure or regeneration projects within the United Kingdom.
- The Project Manager shall report directly to the Programme Director at West Midlands Infrastructure Development Ltd., with a minimum of three (3) days per week on-site at the Birmingham office located at 1200 Corporation Street, B4 7BR.
- Payment terms: Net 30 days from the date of a valid invoice. Invoices shall be submitted monthly in arrears. Late payment shall attract interest at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998.
- The Project Manager shall comply with all applicable data protection regulations, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, particularly when handling stakeholder information within the Birmingham community.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Project Manager shall deliver all project documentation, schedules, and reports to the Purchasing Entity within fourteen (14) days.
- All intellectual property created by the Project Manager in the course of this engagement shall vest in West Midlands Infrastructure Development Ltd. upon full payment.
- The Supplier warrants that the Project Manager shall be fully insured, including professional indemnity insurance of no less than £5,000,000, and public liability insurance of no less than £10,000,000 for the duration of the engagement in United Kingdom Birmingham.
- This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of the Project Manager services described herein and supersedes all prior negotiations, representations, or agreements.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications shall be null and void.
