Terms and Conditions
- This Purchase Order constitutes a binding agreement between Pacific Crest Development Group, Inc. and Meridian Talent Solutions LLC for the provision of Project Manager professional services to be performed in Los Angeles, United States. All terms herein shall be governed by the laws of the State of California and the applicable federal regulations of the United States.
- The Project Manager identified under this Purchase Order shall report directly to the Director of Construction at the Pacific Crest Corporate Campus in Los Angeles and shall maintain a minimum of four (4) on-site days per week at the designated project location in the City of Los Angeles, United States.
- Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month in accordance with California Commercial Code Section 2202, as applicable to commercial transactions in the United States.
- The Project Manager shall comply with all applicable federal, state, and local regulations, including but not limited to OSHA safety standards, California Labor Code provisions, and the Los Angeles Municipal Code governing construction and development projects within the City of Los Angeles.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Project Manager shall complete all in-progress deliverables and submit a final transition report to the Los Angeles project team within fifteen (15) business days.
- All intellectual property, project documentation, schedules, and reports generated by the Project Manager during the term of this Purchase Order shall be the sole property of Pacific Crest Development Group, Inc. and shall be stored at the Los Angeles, United States office or on company-approved cloud infrastructure.
- The Project Manager shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming Pacific Crest Development Group, Inc. as an additional insured. Proof of insurance shall be provided prior to commencement of services in Los Angeles.
- This Purchase Order is valid for acceptance until September 12, 2025. Any modifications or amendments to this document must be made in writing and signed by authorized representatives of both parties. All communications regarding this Purchase Order shall be directed to the contacts listed above in Los Angeles, United States.
