1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and applicable commercial regulations of Tashkent City. Any disputes arising from this Purchase Order shall be resolved through the Tashkent Arbitration Centre before resorting to litigation in the courts of Uzbekistan Tashkent.
2. Commencement: The Project Manager shall commence duties on 1 August 2025 at the CAIDG headquarters located on Amir Temur Avenue, Tashkent. The initial contract period is eighteen (18) months, with an optional six-month extension subject to mutual written agreement.
3. Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of receipt of a valid invoice. All payments shall be processed in Uzbek Som (UZS) via bank transfer to the account specified in Section 2. The vendor PMS LLC shall issue a VAT-compliant invoice registered with the State Tax Committee of Uzbekistan.
4. Performance Obligations: The Project Manager is responsible for developing and maintaining the master project schedule, managing the project budget not exceeding 1,032,752,000 UZS, coordinating with the Ministry of Transport of Uzbekistan, and ensuring compliance with all local building codes and safety regulations applicable in Tashkent.
5. Confidentiality: All project documentation, financial data, and strategic plans shared under this Purchase Order are classified as confidential. The Project Manager and PMS LLC shall not disclose any proprietary information to third parties without prior written consent from CAIDG.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately. Upon termination, the Project Manager shall deliver all project files, risk registers, and progress reports to CAIDG within five (5) business days.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Uzbekistan Tashkent.
8. Compliance: The Project Manager must comply with all labor laws of the Republic of Uzbekistan, including the Labor Code and regulations issued by the Ministry of Labor, Employment and Migration of Uzbekistan. Work permits and registration with the Tashkent City Migration Service shall be the responsibility of PMS LLC.
