- Delivery and Performance Location: All services under this Purchase Order shall be rendered exclusively in Venezuela Caracas. The Project Manager shall maintain a primary office presence at the CIDC headquarters in Chacao, Venezuela Caracas, and shall be available for on-site inspections at project locations throughout the Distrito Capital.
- Payment Terms: Payment shall be made in monthly installments within 30 days of receipt of the Project Manager's certified progress report. The first payment shall be due upon successful onboarding and registration of the Project Manager in Venezuela Caracas. All payments shall be processed through the Banco de Venezuela, account designated by the Service Provider.
- Contract Duration: This Purchase Order covers a period of twelve (12) months commencing on 1 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement between the parties.
- Project Manager Qualifications: The Project Manager engaged under this Purchase Order must hold a minimum of ten (10) years of experience in infrastructure project management, possess a PMP or PRINCE2 certification, and demonstrate fluency in both Spanish and English to effectively operate within the Venezuela Caracas business environment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Project Manager shall deliver all project documentation, schedules, and reports to CIDC within fourteen (14) days of the termination date.
- Confidentiality: The Project Manager shall maintain strict confidentiality regarding all proprietary information, technical drawings, and financial data related to the Caracas Metro Expansion Phase III. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Caracas.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government decrees, or civil unrest affecting operations in Venezuela Caracas.
- Compliance: The Service Provider warrants that the Project Manager shall comply with all applicable Venezuelan labor laws, tax obligations, and regulatory requirements in force in Venezuela Caracas at the time of performance.
