1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. 2. The Project Manager assigned under this Purchase Order must hold a minimum of eight (8) years of experience in managing enterprise-scale IT and infrastructure projects, with at least three (3) years of demonstrated experience operating within the Vietnam Ho Chi Minh City business ecosystem.
3. Payment shall be made in monthly installments via bank transfer to the Supplier's designated account. Invoices must be submitted by the 5th business day of each month. Late payments shall incur a penalty of 0.05% per day as stipulated under Vietnamese commercial law.
4. The Project Manager shall maintain a minimum on-site presence of five (5) days per week at the Buyer's premises in District 1, Vietnam Ho Chi Minh City, unless otherwise agreed in writing for remote work arrangements.
5. Confidentiality: The Project Manager shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All project data, client information, and proprietary materials encountered during the engagement in Vietnam Ho Chi Minh City shall remain the exclusive property of the Buyer.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall provide a comprehensive handover document and transition plan for the Project Manager role within fourteen (14) days.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation, followed by mediation under the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City, if negotiation fails within thirty (30) days.
8. This Purchase Order is governed by the laws of the Socialist Republic of Vietnam. All notices and formal communications shall be delivered to the addresses specified in Sections 1 and 2 above.

The Project Manager shall commence duties no later than 1 July 2025 at the Buyer's office located in Vietnam Ho Chi Minh City. The Supplier is responsible for ensuring the Project Manager has completed all necessary onboarding, security clearance, and local registration requirements prior to the start date. The engagement period shall run from 1 July 2025 through 30 June 2026, subject to renewal by mutual written agreement.
