TERMS AND CONDITIONS

Scope of Services: This Purchase Order authorizes the engagement of the named Psychiatrist, Dr. Karim Haddad, to deliver the professional psychiatric services as itemized above. All services shall be rendered in compliance with the Algerian Ministry of Health regulations governing psychiatric practice in Algeria Algiers and the broader national territory.
Professional Qualifications: The Psychiatrist shall maintain a valid professional license issued by the Algerian Medical Council and shall hold a minimum of ten (10) years of post-graduate experience in adult and adolescent psychiatry. Proof of licensure shall be provided prior to the commencement of services.
Payment Terms: Payment shall be made in Algerian Dinars (DZD) via bank transfer to the account designated by the Psychiatrist. Invoices are due within thirty (30) calendar days of receipt. Late payments shall accrue interest at the rate prescribed by Algerian commercial law.
Confidentiality and Data Protection: The Psychiatrist shall adhere strictly to the Algerian law on the protection of personal data (Law No. 18-07) and shall maintain absolute confidentiality regarding all patient records, clinical notes, and treatment information generated during the engagement in Algeria Algiers.
Performance Standards: The Psychiatrist shall attend all scheduled sessions punctually. Cancellations must be communicated no fewer than 48 hours in advance. Failure to meet the agreed schedule more than three (3) times in any calendar month shall constitute a material breach of this Purchase Order.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall compensate the Psychiatrist for all services rendered up to the effective date of termination.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Algiers, Algeria.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Algeria Algiers region.
Amendments: Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be binding.
Entire Agreement: This Purchase Order, together with any attached annexes, constitutes the entire agreement between the parties regarding the engagement of the Psychiatrist for the services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter.
