1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services shall comply with the regulations established by the Ministerio de Salud de la Nación and the Ministerio de Salud de la Ciudad de Buenos Aires, Argentina.
2. The Psychiatrist shall maintain valid professional registration with the Colegio Médico de la Ciudad de Buenos Aires and shall carry professional liability insurance with a minimum coverage of ARS 50,000,000.00 for the entire duration of this contract.
3. Payment shall be made within thirty (30) calendar days from the date of invoice issuance. Invoices shall be issued in Argentine Pesos (ARS) in accordance with the tax regulations of the Administración Federal de Ingresos Públicos (AFIP), Argentina.
4. All patient records, clinical notes, and psychiatric documentation generated under this Purchase Order shall remain the exclusive property of Clínica San Martín S.A. and shall be handled in strict compliance with Ley 25.326 de Protección de los Datos Personales of Argentina.
5. The Psychiatrist shall provide a monthly summary report detailing all sessions conducted, diagnoses issued, and treatment plans updated, to be delivered to the Buyer's medical director by the 5th business day of the following month.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all services rendered up to the effective date of termination shall be invoiced and paid in full.
7. Any disputes arising from this Purchase Order shall be resolved through the competent civil and commercial courts of the city of Buenos Aires, Argentina, in accordance with the applicable Argentine legal framework.
8. The Psychiatrist shall not subcontract or delegate any portion of the services described in this Purchase Order without the prior written consent of the Buyer.
