The total amount of this Purchase Order is BDT Three Million Five Hundred Thirty-Four Thousand One Hundred Only (BDT 3,534,100.00). All amounts are denominated in Bangladeshi Taka (BDT) and are payable to the designated Psychiatrist or their registered practice entity via bank transfer to the account specified in Annexure B of this Purchase Order. Payment shall be processed through the Meghna Mental Health & Wellness Center's accounts payable department located in Bangladesh Dhaka within thirty (30) calendar days of receipt of a valid tax invoice and completion of the corresponding service milestone.
3. TERMS AND CONDITIONS3.1 This Purchase Order is subject to the standard terms and conditions of Meghna Mental Health & Wellness Center and shall be governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act, 2001 of Bangladesh.
3.2 The Psychiatrist shall maintain valid professional registration with the Bangladesh Medical and Dental Council (BMDC) and shall hold a current license to practice psychiatry in Bangladesh Dhaka throughout the entire duration of this Purchase Order. Failure to maintain such registration shall constitute grounds for immediate termination of this Purchase Order without prior notice.
3.3 All patient records, clinical data, and diagnostic information generated under this Purchase Order shall be maintained in strict confidentiality in accordance with the Digital Security Act of Bangladesh and the institutional data protection policies of Meghna Mental Health & Wellness Center. The Psychiatrist shall not disclose any patient information to third parties without written consent of the patient or a valid court order.
3.4 The Psychiatrist shall comply with all clinical protocols, standard operating procedures, and safety guidelines established by the center. Any deviation from approved treatment protocols must be documented and approved in writing by the center's Medical Director prior to implementation.
3.5 The Psychiatrist shall provide a minimum of two (2) hours of advance notice for any absence from scheduled duties. Unplanned absences exceeding three (3) consecutive days shall entitle the center to withhold the corresponding weekly service fee under this Purchase Order.
3.6 All equipment and diagnostic tools listed under Line Item 6 of this Purchase Order shall be delivered, installed, and made operational at the Bangladesh Dhaka facility no later than 28 June 2025. The Psychiatrist shall provide a one-year warranty on all software licenses and a six-month warranty on all hardware components.
3.7 This Purchase Order may be amended only by mutual written agreement of both parties. No verbal modifications shall be binding. Any amendment must reference the original Purchase Order number PO/2025/PSY/0047 and be signed by authorized representatives of both parties.
3.8 The Psychiatrist shall carry professional indemnity insurance with a minimum coverage of BDT 10,000,000 (Ten Million Taka) for the duration of this Purchase Order and shall provide a certificate of insurance to the center's administration prior to commencing services.
4. DELIVERY AND SERVICE LOCATIONAll services under this Purchase Order shall be rendered at the Meghna Mental Health & Wellness Center, House 42, Road 11, Banani, Dhaka-1213, Bangladesh Dhaka, unless otherwise specified in writing. The Psychiatrist shall report to the center's psychiatric department at 08:00 AM on all scheduled working days. Emergency on-call services shall be activated via the center's dedicated emergency line and the Psychiatrist shall respond to the Bangladesh Dhaka facility within sixty (60) minutes of notification.

Notes and Remarks:
(a) This Purchase Order is valid for a period of three (3) months from the date of issue and may be renewed by mutual consent for an additional period of three (3) months upon satisfactory performance review.
(b) The Psychiatrist acknowledges that all services rendered under this Purchase Order are subject to the oversight of the Bangladesh Medical and Dental Council and the relevant health authority of Bangladesh Dhaka.
(c) A copy of this Purchase Order shall be retained by both parties. The original document is held by the Meghna Mental Health & Wellness Center procurement office in Bangladesh Dhaka.
(d) This Purchase Order does not constitute an employment contract. The Psychiatrist is engaged as an independent professional service provider under the terms specified herein.
