- This Purchase Order is issued in accordance with Brazilian procurement regulations and the Civil Code of the Federative Republic of Brazil. All services rendered by the Psychiatrist shall comply with the ethical code established by the Federal Council of Medicine (CFM) and the Regional Medical Council of the State of Rio de Janeiro (CREMERJ).
- The Psychiatrist must maintain valid professional registration (CRM-RJ) throughout the entire contract period and shall provide proof of registration upon request. Any lapse in registration shall constitute grounds for immediate termination of this Purchase Order.
- All patient data processed under this Purchase Order shall be handled in strict compliance with the Brazilian General Data Protection Law (Lei Geral de Proteção de Dados – LGPD, Law No. 13.709/2018). The Psychiatrist is designated as a data processor and shall implement appropriate technical and organizational safeguards.
- Controlled psychotropic medications dispensed or prescribed under this Purchase Order must be managed in accordance with ANVISA regulations and the specific rules of the Rio de Janeiro State Health Department. A dedicated logbook shall be maintained at the Botafogo clinic facility.
- Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding month. Payment shall be made via bank transfer (TED/PIX) to the account designated by the Psychiatrist within 30 calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC index, as per Brazilian commercial law.
- The Psychiatrist shall provide a minimum of 15 business days' written notice for any absence or unavailability. In the event of absence, a qualified substitute Psychiatrist with equivalent credentials registered with CREMERJ must be arranged at no additional cost to the issuing organization.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this document shall be resolved by the competent courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil, or by arbitration at the Brazilian Arbitration Association (CAMARB) if both parties so agree in writing.
- The total value of this Purchase Order is subject to adjustment only in the event of a formal amendment signed by both parties. No verbal modifications shall be binding.
- This Purchase Order may be terminated by either party with 60 days' prior written notice. In the event of termination, all pending invoices for services already rendered shall be settled in full within 30 days.
