- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada Vancouver's jurisdiction. Any disputes arising from this Purchase Order shall be resolved through mediation in Vancouver, British Columbia, prior to any litigation.
- Professional Standards: The Psychiatrist agrees to deliver all services in strict compliance with the Code of Ethics of the College of Physicians and Surgeons of British Columbia, the Canadian Medical Association's Code of Ethics, and all applicable federal and provincial health regulations in force in Canada Vancouver.
- Confidentiality and Privacy: All patient information obtained in the course of providing psychiatric services under this Purchase Order shall be handled in accordance with the Personal Information Protection Act (PIPA) of British Columbia and the federal Privacy Act of Canada. The Psychiatrist shall not disclose any patient records without written consent or as required by law.
- Payment Terms: Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices shall be submitted electronically to the purchasing entity's accounts payable department. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the British Columbia Interest Act.
- Service Period: The services outlined in this Purchase Order are valid for a period of twelve (12) months from the date of acceptance, commencing July 1, 2025, and expiring June 30, 2026. Renewal shall require a written amendment to this Purchase Order.
- Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the purchasing entity shall be liable for all services rendered up to the effective date of termination. - Insurance and Liability: The Psychiatrist shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence, issued by a carrier licensed to operate in Canada Vancouver. Certificates of insurance shall be provided upon request.
- Compliance with Canadian Regulations: All prescriptions issued by the Psychiatrist under this Purchase Order shall comply with the Controlled Drugs and Substances Act (CDSA) of Canada and the regulations of the College of Physicians and Surgeons of British Columbia. The Psychiatrist shall maintain accurate records of all controlled substance prescriptions as required by law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government orders, or civil unrest affecting the Canada Vancouver region.
- Entire Agreement: This Purchase Order, together with any attached schedules and amendments, constitutes the entire agreement between the parties regarding the procurement of Psychiatrist services and supersedes all prior negotiations, representations, or agreements.
