- This Purchase Order is issued by Clínica del Pacífico S.A. for the engagement of Dr. Alejandro Ignacio Contreras M., a licensed Psychiatrist, to provide specialized psychiatric services at the designated facilities located in Chile Santiago. All services shall be rendered in accordance with the professional standards established by the Colegio de Psiquiatras de Chile and the regulations of the SEREMI de Salud Metropolitana.
- The Psychiatrist shall maintain valid professional licensure, malpractice insurance (minimum coverage of CLP 500,000,000), and all required registrations throughout the duration of this Purchase Order. Any lapse in credentials shall constitute grounds for immediate termination.
- Payment terms: Net 30 days from the date of invoice submission. Invoices shall be issued monthly by the 5th business day and submitted to the accounts payable department of Clínica del Pacífico S.A. in Chile Santiago. Payment shall be made via electronic bank transfer (transferencia electrónica) to the account designated by the Psychiatrist.
- All psychiatric consultations, therapy sessions, and clinical records generated under this Purchase Order shall be conducted and stored in compliance with Chilean Law N° 20.584 on the Right to Health and the data protection provisions of Law N° 19.628. Patient confidentiality is paramount and the Psychiatrist shall adhere strictly to the ethical code of the Chilean psychiatric profession.
- The Psychiatrist is required to submit a written clinical activity report to the Procurement Director by the 10th of each month, detailing the number of sessions conducted, patient outcomes (anonymized), and any incidents or adverse events that occurred during the reporting period in Chile Santiago.
- This Purchase Order may be terminated by either party with a written notice of 30 calendar days. In the event of termination, all outstanding invoices for services rendered up to the termination date shall be paid in full within 15 business days.
- Any modifications to the scope of Psychiatrist services, frequency of sessions, or compensation outlined in this Purchase Order must be documented in a formal amendment signed by both parties. Verbal agreements shall not be binding.
- This Purchase Order is governed by the Civil Code of the Republic of Chile and applicable commercial regulations. Any disputes arising from this agreement shall be resolved through the competent courts of Chile Santiago, specifically the Juzgado de Letras en lo Civil de Santiago Centro.
- The Psychiatrist shall not subcontract or delegate any portion of the psychiatric services described in this Purchase Order to any third party without prior written authorization from Clínica del Pacífico S.A.
- All intellectual property, clinical protocols, and training materials developed specifically for Clínica del Pacífico S.A. under this Purchase Order shall remain the property of the purchasing entity. The Psychiatrist retains ownership of pre-existing methodologies and general clinical knowledge.
