- Scope of Psychiatrist Services: The Psychiatrist named in this Purchase Order shall provide all clinical psychiatric services exclusively at the designated facility located in China Beijing, Chaoyang District, unless prior written approval is obtained from the Buyer. The Psychiatrist shall maintain all required professional licenses, malpractice insurance, and certifications throughout the duration of this Purchase Order.
- Compliance with China Beijing Regulations: All psychiatric services delivered under this Purchase Order shall strictly comply with the Mental Health Law of the People's Republic of China, the regulations of the China Beijing Municipal Health Commission, and all applicable data protection and patient confidentiality statutes. The Psychiatrist shall ensure that all patient records are stored in accordance with China's Personal Information Protection Law (PIPL).
- Payment Schedule: Payment for services rendered under this Purchase Order shall be made in monthly installments within thirty (30) calendar days of receipt of an itemized invoice from the Psychiatrist or the Beijing Capital Psychiatry & Mental Health Center. Payment shall be processed via bank transfer to the account designated in the supplier's invoice. The total contract value under this Purchase Order is CNY 864,000.00 (Eight Hundred Sixty-Four Thousand Chinese Yuan).
- Performance Standards: The Psychiatrist shall maintain a minimum patient satisfaction score of 90% as measured by quarterly surveys conducted by the Buyer. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
- Confidentiality and Data Protection: The Psychiatrist shall treat all patient information obtained during the course of services under this Purchase Order as strictly confidential. No patient data shall be disclosed to any third party without explicit written consent, in full compliance with China Beijing data sovereignty requirements.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Psychiatrist shall complete all ongoing patient care plans and transfer records to a successor Psychiatrist approved by the Buyer within fourteen (14) days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China Beijing Arbitration Commission (BAC) in accordance with its then-current rules.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Beijing, or public health emergencies.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Psychiatrist in China Beijing. This Purchase Order becomes effective upon the date of the last signature and shall remain in force for a period of twelve (12) months unless renewed or terminated in writing.
