1. Contract Period: This Purchase Order is valid for a period of six (6) months commencing on 1 July 2025 and expiring on 31 December 2025, unless renewed by mutual written agreement between the parties.
2. Performance Standards: The Psychiatrist shall maintain a minimum patient satisfaction rate of 85% as measured by quarterly surveys administered by the KRHA. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order.
3. Confidentiality: The Psychiatrist shall adhere strictly to patient confidentiality as mandated by the DR Congo Health Code and the professional ethics of the Ordre des Médecins du Congo. All patient records shall be stored securely at the Clinique Psychiatrique de la Gombe facility in Kinshasa.
4. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be processed within thirty (30) calendar days of invoice receipt via bank transfer to the account designated by the Psychiatrist's clinic.
5. Compliance: The Psychiatrist shall comply with all applicable laws and regulations of the Democratic Republic of the Congo, including but not limited to the national mental health framework, pharmaceutical regulations, and labor standards in Kinshasa.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all services rendered up to the termination date shall be invoiced and paid in full.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within sixty (60) days, the matter shall be submitted to the competent courts of Kinshasa, DR Congo.
8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to civil unrest, natural disasters, or government-imposed restrictions within the DR Congo.
