The Psychiatrist shall deliver the following services as outlined below:

4.1. This Purchase Order is governed by the laws of the Federal Democratic Republic of Ethiopia, specifically the Ethiopian Commercial Code and the Health Professions Practice Proclamation No. 942/2016. All disputes arising from this Purchase Order shall be resolved through the Ethiopian Arbitration and Conciliation Commission in Ethiopia Addis Ababa.

4.2. The Psychiatrist shall maintain valid professional licensure with the Ethiopian Medical and Health Professionals Council throughout the duration of this Purchase Order. Any lapse in licensure shall constitute grounds for immediate termination.

4.3. The Psychiatrist shall adhere to the Ethiopian Medical and Health Professionals Council Code of Ethics and the institutional policies of Tikur Anbessa Specialized Hospital. All patient records shall be maintained in accordance with Ethiopian data protection regulations.

4.4. Payment shall be processed in Ethiopian Birr (ETB) via bank transfer to the account designated by the Psychiatrist. Invoices must be submitted within five (5) business days of service completion. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice.

4.5. The Psychiatrist is engaged as an independent professional contractor and not as an employee of the Purchasing Entity. The Psychiatrist shall be responsible for all applicable personal income tax obligations under Ethiopian tax law.

4.6. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Purchasing Entity shall compensate the Psychiatrist for all services rendered up to the effective date of termination.

4.7. The Psychiatrist shall carry professional indemnity insurance with a minimum coverage of ETB 5,000,000, valid throughout the term of this Purchase Order, as required for psychiatric practice in Ethiopia Addis Ababa.

The services described in this Purchase Order shall commence on 1 July 2025 and shall continue through 30 September 2025, unless extended by mutual written agreement. The Psychiatrist shall report to the TASH Department of Psychiatry and Mental Health, located in Ethiopia Addis Ababa, on the schedule agreed upon in the attached Service Level Agreement (SLA). All clinical services shall be delivered at the TASH facilities in Ethiopia Addis Ababa unless otherwise authorized in writing by the Head of Procurement.

Note: This Purchase Order is subject to approval by the TASH Finance Directorate and the Ethiopian Federal Ministry of Health Procurement Oversight Committee. No services shall commence until all approvals are documented and the Purchase Order is countersigned by both parties.
