- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order relating to the Psychiatrist's services in France Paris shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice issuance. Invoices shall reference this Purchase Order number (PO-2025-FR-0487). Late payments shall accrue interest at the statutory rate defined under Article L441-10 of the French Commercial Code.
- Service Delivery: The Psychiatrist shall render all services in a professional and confidential manner, in full compliance with the French Code de la Santé Publique and the professional deontology rules of the Ordre des Médecins. - Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Services already rendered and invoiced prior to the termination date shall remain payable in full.
- Insurance: The Psychiatrist shall maintain valid professional liability insurance (responsabilité civile professionnelle) with a minimum coverage of €1,000,000 per claim throughout the duration of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the France Paris region.
