1. Scope of Services: This Purchase Order authorizes the above-named Psychiatrist to provide the psychiatric and psychotherapeutic services as described in the line items. All services shall be rendered in Frankfurt, Germany, at the practice location specified above or at the corporate offices of the Buyer, as mutually agreed upon in writing.
2. Professional Standards: The Psychiatrist shall perform all duties in accordance with the German Medical Association (Bundesärztekammer) guidelines, the applicable provisions of the Social Code Book V (SGB V), and the professional standards of the Landesärztekammer Hessen. The Psychiatrist holds a valid medical license (Approbation) and is registered with the Kassenärztliche Vereinigung Hessen (KöV Hessen).
3. Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within 30 days of invoice receipt via bank transfer to the account specified on the invoice. Late payments shall incur interest at the statutory rate under § 288 of the German Civil Code (BGB).
4. Confidentiality and Data Protection: All patient data processed by the Psychiatrist shall be handled in strict compliance with the General Data Protection Regulation (GDPR/DSGVO) and the German Federal Data Protection Act (BDSG). No individual patient information shall be disclosed to the Buyer without explicit written consent from the patient, except for anonymized aggregate statistics required for corporate health reporting.
5. Termination: Either party may terminate this Purchase Order with a written notice period of 60 days. In the event of termination, the Psychiatrist shall ensure a smooth transition of all ongoing patient care to a successor practitioner in Frankfurt, Germany, and shall transfer all relevant medical records in accordance with German medical law.
6. Liability and Insurance: The Psychiatrist shall maintain professional medical liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of € 5,000,000 per claim. The Psychiatrist assumes full professional liability for the quality and safety of all medical services rendered under this Purchase Order.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting medical practices in Frankfurt, Germany.
