- 4.1 This Purchase Order constitutes a binding agreement between Medizinisches Versorgungszentrum München GmbH (hereinafter "the Purchaser") and Dr. med. Katharina Vogel, Psychiatrist (hereinafter "the Service Provider"), for the provision of psychiatric and psychotherapeutic services as described in Section 3.
- 4.2 All services shall be rendered in accordance with the applicable German medical professional regulations (Berufsordnung der Bayerischen Ärztekammer) and the data protection requirements of the GDPR (DSGVO) as implemented in Germany. Patient data shall be processed exclusively within the territory of Germany Munich and shall not be transferred to third parties without explicit written consent.
- 4.3 The Psychiatrist shall maintain full professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of € 5,000,000 per claim throughout the duration of this Purchase Order. A current certificate of insurance shall be provided upon request.
- 4.4 Payment shall be made via SEPA bank transfer within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-MUC-04872). Late payments shall incur statutory interest as defined under § 288 BGB (German Civil Code).
- 4.5 The Service Provider (Psychiatrist) guarantees that all diagnostic and therapeutic procedures will be performed in compliance with the current S3 guidelines of the German Society for Psychiatry, Psychotherapy and Psychosomatics (DGPP).
- 4.6 Cancellation or modification of any line item must be communicated in writing at least five (5) business days prior to the scheduled service date. No cancellation fees shall apply for services cancelled more than 48 hours in advance.
- 4.7 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- 4.8 The Psychiatrist shall provide a written summary of all sessions and treatment plans to the Purchaser's clinical records department within five (5) business days following each service delivery, in compliance with German medical documentation standards (§ 630f BGB).
- 4.9 This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless terminated earlier by either party with a written notice period of sixty (60) days.
