- This Purchase Order is issued by Accra Wellness & Mental Health Services Ltd. (hereinafter referred to as "the Purchaser") for the procurement of professional Psychiatrist services to be rendered within the Ghana Accra metropolitan area. All services shall be delivered in accordance with the standards set by the Ghana Medical & Dental Council and the Ghana Health Service.
- The Psychiatrist, Dr. Kwame Asante-Mensah, shall maintain full professional licensure and registration throughout the duration of this Purchase Order. Any lapse in registration shall constitute grounds for immediate termination of this agreement without penalty to the Purchaser.
- All psychiatric consultations, assessments, and therapeutic sessions shall take place at the designated facility located in Ghana Accra, specifically at the Accra Psychiatric & Counselling Centre, East Legon, unless otherwise agreed in writing by both parties. Telehealth sessions conducted from within Ghana Accra are permissible for follow-up appointments only.
- Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the Psychiatrist. Payment shall be processed via bank transfer to the account designated by the service provider. All amounts are denominated in Ghana Cedis (GHS) and are subject to applicable Ghanaian tax regulations, including the 15% Value Added Tax (VAT) as administered by the Ghana Revenue Authority.
- The Psychiatrist shall maintain strict confidentiality of all patient records and clinical information in compliance with the Data Protection Act, 2012 (Act 843) of Ghana. No patient-identifiable information shall be disclosed to any third party without written consent, except where required by law in the jurisdiction of Ghana Accra.
- Any modifications, amendments, or changes to the scope of services outlined in this Purchase Order must be documented in a written addendum signed by both the Purchaser and the Psychiatrist. Verbal agreements shall not be binding.
- The Psychiatrist shall provide a monthly summary report detailing all sessions conducted, patient outcomes, and any referrals made, to be submitted to the Purchaser's procurement department in Ghana Accra by the fifth (5th) business day of the following month.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from this agreement shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 2099 (Act 627).
- The Purchaser reserves the right to cancel this Purchase Order in whole or in part with fourteen (14) days' written notice. In the event of cancellation, the Psychiatrist shall be compensated only for services actually rendered up to the date of cancellation.
- All services under this Purchase Order are subject to the professional ethical code of the Ghanaian psychiatric community. The Psychiatrist shall not engage in any conflict of interest that may compromise the quality or impartiality of care delivered to patients in Ghana Accra.
