* All amounts are in Indian Rupees (INR). GST is applicable as per the Central Goods and Services Tax Act, 2017, and the Karnataka State GST Act. The Psychiatrist shall provide a valid GST invoice for each billing cycle. Services are to be rendered within the India Bangalore metropolitan area unless otherwise agreed in writing.
Terms and Conditions- Scope of Engagement: This Purchase Order authorizes the engagement of Dr. Ananya Krishnamurthy, a licensed Psychiatrist registered with the Karnataka Medical Council, to provide psychiatric and mental health services to employees of Apex Corporate Wellness Pvt. Ltd. All services shall be delivered in Bangalore, India, or via approved telemedicine platforms as specified herein.
- Professional Standards: The Psychiatrist shall adhere to the ethical guidelines of the Indian Psychiatric Society, the Mental Healthcare Act, 2017, and all applicable regulations of the Government of India. Clinical records shall be maintained in strict confidence and stored in compliance with the Digital Personal Data Protection Act, 2023.
- Payment Schedule: Payment shall be made within thirty (30) days of receipt of a valid tax invoice. Invoices shall be submitted monthly by the 5th of the following month. Payment shall be made via NEFT/RTGS to the bank account designated by the Psychiatrist in Bangalore, India. TDS at 10% under Section 194J of the Income Tax Act, 1961, shall be deducted and deposited with the appropriate tax authority in India.
- Service Location: Primary service delivery shall take place at the Serenity Mind Care Clinic, Indiranagar, Bangalore. Tele-psychiatry sessions shall be conducted via a HIPAA-equivalent secure platform. The Psychiatrist shall ensure that all in-person consultations occur within the India Bangalore urban agglomeration to maintain continuity of care.
- Confidentiality and Data Protection: All patient information shall be treated as strictly confidential. The Psychiatrist shall not disclose any individual employee's mental health records to the Purchaser. Only de-identified, aggregate data shall be included in monthly reports. Violation of confidentiality shall result in immediate termination of this Purchase Order and legal action under applicable India law.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Psychiatrist shall ensure a smooth transition of ongoing patient care to a successor Psychiatrist in Bangalore, India, with the consent of affected employees.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangalore, Karnataka, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, and the proceedings shall be conducted in English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India. The courts of Bangalore, Karnataka shall have exclusive jurisdiction over any matters not subject to arbitration.
- Insurance: The Psychiatrist shall maintain valid professional indemnity insurance with a minimum cover of INR 50,00,000 (Fifty Lakh Rupees) for the duration of this engagement, issued by an insurer registered in India.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Bangalore, India.
