2. - This Purchase Order constitutes a binding agreement between the Baghdad Provincial Health Directorate and the named Psychiatrist for the provision of psychiatric services exclusively within the Iraq Baghdad jurisdiction, effective from the date of mutual signature.
- The Psychiatrist shall maintain a valid Iraqi Medical Board license (License No. IQ-PSY-2018-00917) and all requisite professional indemnity insurance throughout the duration of this Purchase Order. Any lapse in licensure shall render this document void at the sole discretion of the issuing authority.
- All psychiatric services shall be delivered in accordance with the Iraqi Ministry of Health clinical guidelines, the World Health Organization (WHO) mental health care standards, and the ethical codes of the Iraqi Psychiatric Association. Patient confidentiality shall be maintained in full compliance with Iraqi data protection regulations.
- Payment shall be processed in Iraqi Dinar (IQD) via bank transfer to the account designated by the Psychiatrist within thirty (30) calendar days of receipt of a verified service completion report. Late payments shall accrue interest at the rate of 2% per month as stipulated under Iraqi commercial law.
- The Psychiatrist is required to submit monthly service reports detailing patient volumes, diagnostic outcomes, medication adjustments, and any adverse events to the Baghdad Provincial Health Directorate no later than the fifth (5th) business day of the following month.
- Any modification, extension, or termination of this Purchase Order must be documented in writing and countersigned by both parties. Early termination by the issuing authority shall be subject to a 60-day written notice period, during which the Psychiatrist shall continue to provide services in the Iraq Baghdad region without interruption to patient care.
- All records, clinical notes, and patient data generated under this Purchase Order shall be stored at the Al-Jadriya Medical Complex in Baghdad, Iraq, and shall remain the property of the Baghdad Provincial Health Directorate. The Psychiatrist shall ensure secure, encrypted digital storage and physical file protection in line with Iraqi healthcare record-keeping statutes.
- Disputes arising from the interpretation or execution of this Purchase Order shall be resolved through mediation under the Iraqi Arbitration Law (No. 47 of 1969) before any formal litigation is pursued in the Baghdad courts.
- The Psychiatrist shall not subcontract, delegate, or assign any portion of the services outlined in this Purchase Order to any third party without prior written consent from the Baghdad Provincial Health Directorate.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Iraq. All references to Iraq Baghdad in this document denote the administrative and geographic scope of service delivery.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Psychiatrist services in Iraq Baghdad. This document is executed in two (2) original copies, one retained by each party.
