Payment for all services rendered under this Purchase Order shall be made via bank transfer (bonifico bancario) to the account of the Psychiatrist as specified below. Invoices shall be submitted on a monthly basis, no later than the 5th business day of the following month. Payment is due within thirty (30) calendar days from the date of invoice receipt. The Psychiatrist shall issue a compliant Italian fiscal invoice (fattura elettronica) in accordance with the SdI (Sistema di Interscambio) electronic invoicing system mandated by the Italian Revenue Agency (Agenzia delle Entrate).

- Professional Qualification: The Psychiatrist shall maintain valid registration with the Ordine dei Medici di Milano and hold a current professional liability insurance policy (RC Professionale) with a minimum coverage of €2,000,000 per claim, as required for all medical practitioners operating in Italy Milan.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the Tribunale di Milano, Italy Milan.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting healthcare operations in Italy Milan.
