4.1 Payment Terms: Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days from the date of receipt of a valid invoice from the Psychiatrist. Payments shall be processed via bank transfer to the account designated by the supplier. The buyer reserves the right to withhold payment for any services not rendered to the standard of care expected of a licensed Psychiatrist in Ivory Coast.

4.2 Performance Period: This Purchase Order is valid for a period of three (3) months commencing on 1 July 2025 and expiring on 30 September 2025. Renewal shall be subject to mutual written agreement and a new Purchase Order issuance.

4.3 Professional Standards: The Psychiatrist shall adhere to the ethical and professional standards set forth by the World Psychiatric Association (WPA) and the national regulations governing psychiatric practice in Abidjan, Ivory Coast. All patient data shall be handled in strict compliance with the data protection laws of Côte d'Ivoire.

4.4 Confidentiality: The Psychiatrist shall maintain absolute confidentiality regarding all patient information obtained in the course of services rendered under this Purchase Order. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order and may result in legal action.

4.5 Termination: Either party may terminate this Purchase Order with a written notice of fourteen (14) days. In the event of termination, the buyer shall compensate the Psychiatrist for all services rendered up to the effective date of termination.

4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Abidjan, Ivory Coast.

All services under this Purchase Order shall be performed at the premises of Clinique Sainte-Marie de Cocody, located in the Cocody district of Abidjan, Ivory Coast, or at such other location within Abidjan as may be mutually agreed upon in writing. The Psychiatrist is expected to be physically present at the facility during all scheduled shifts and to be reachable by telephone for emergency consultations at all times.

This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges acceptance of all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Psychiatrist in Abidjan, Ivory Coast.
