4.1 This Purchase Order constitutes a binding agreement between the Kansai Regional Health Authority and Osaka Advanced Psychiatric Care Group Co., Ltd. for the provision of Psychiatrist services in Japan Osaka. Both parties acknowledge and accept all terms herein.

4.2 The Psychiatrist engaged under this Purchase Order must hold a valid Japanese medical license (Iryō Ijin Shō) and a specialist certification in Psychiatry issued by the Japanese Society of Psychiatry and Neurology. Proof of licensure shall be submitted prior to the commencement of services.

4.3 All services shall be performed at the designated clinical facility in Japan Osaka or at approved satellite locations within the Osaka metropolitan area as mutually agreed upon in writing.

4.4 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Payment shall be processed via bank transfer to the account designated by the vendor. All amounts are denominated in Japanese Yen (JPY) and are inclusive of applicable consumption tax (10%).

4.5 The Psychiatrist shall maintain strict patient confidentiality in accordance with the Act on the Protection of Personal Information (APPI) of Japan and the medical ethics code of the Japan Medical Association. Any breach of confidentiality shall result in immediate termination of this Purchase Order and potential legal action.

4.6 The Buyer reserves the right to audit the Psychiatrist's service records, billing documentation, and clinical outcomes at any reasonable time with forty-eight (48) hours prior written notice.

4.7 In the event of force majeure, including but not limited to natural disasters common to the Japan Osaka region (earthquakes, typhoons, volcanic activity), either party may suspend obligations under this Purchase Order without penalty, provided written notice is given within seventy-two (72) hours of the event.

4.8 This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Osaka, Japan Osaka, in accordance with the rules of the Japan Commercial Arbitration Association.

The Psychiatrist services outlined in this Purchase Order shall commence on 1 July 2025 and shall continue on a rolling twelve-month basis, subject to annual review and renewal. The Psychiatrist shall maintain a minimum availability of forty (40) clinical hours per week at the Japan Osaka facility, with additional on-call availability as specified in Line Item 006. Service delivery schedules shall be coordinated between the Buyer's scheduling office and the Psychiatrist's administrative team no later than the first business day of each calendar month.
