3.1 — This Purchase Order is subject to the professional standards and ethical guidelines established by the Japan Medical Association and the Tokyo Metropolitan Medical Board. The Psychiatrist shall maintain all required licenses, certifications, and malpractice insurance throughout the duration of this contract.

3.2 — All psychiatric services shall be delivered at the Psychiatrist's registered clinic located in Minato-ku, Japan Tokyo, or at the Purchaser's designated facility in Shibuya-ku, Japan Tokyo, as mutually agreed upon in writing prior to each session.

3.4 — The Psychiatrist shall provide a minimum of 48 hours' written notice for any cancellation or rescheduling of a session. Cancellations made with less than 48 hours' notice shall be billed at 50% of the scheduled session fee.

3.5 — In the event of the Psychiatrist's unavailability due to illness, sabbatical, or other circumstances, the Psychiatrist shall arrange for a qualified substitute psychiatrist of equivalent credentials to ensure continuity of care for all enrolled employees within the Japan Tokyo service area.

3.6 — All invoices shall be submitted in Japanese Yen (JPY) and shall reference this Purchase Order number (TMWC-PO-2025-00487). Payment shall be processed via bank transfer to the account designated by the Psychiatrist's practice within 30 calendar days of invoice receipt.

3.7 — This Purchase Order may be amended only by mutual written agreement of both parties. Any modification to scope, pricing, or service frequency must be documented in a formal amendment attached to this Purchase Order.

3.8 — Disputes arising from this Purchase Order shall be resolved through mediation in accordance with the commercial arbitration rules of the Japan Commercial Arbitration Association, with the seat of arbitration in Japan Tokyo.
