3. Scope of Psychiatrist ServicesThis Purchase Order is issued by the Nairobi Metropolitan Health & Wellness Centre to engage the services of a qualified Psychiatrist, Dr. James Otieno, for the provision of comprehensive psychiatric and mental health services within the Kenya Nairobi metropolitan area. The Psychiatrist shall deliver clinical consultations, diagnostic assessments, therapeutic interventions, and ongoing patient management in accordance with the standards set by the Medical Practitioners and Dentists Council of Kenya and the Kenya Mental Health Act, 2012.

- Service Delivery: The Psychiatrist shall render all services at the Nairobi Metropolitan Health & Wellness Centre premises located in Kilimani, Nairobi, Kenya, or at such other locations within Kenya Nairobi as mutually agreed upon in writing by both parties.
- Compliance: The Psychiatrist shall comply with all applicable laws of Kenya, including the Mental Health Act, 2012, the Medical Practitioners and Dentists Act, and all regulations issued by the Medical Practitioners and Dentists Council of Kenya. All patient records shall be maintained in accordance with the Data Protection Act, 2019 of Kenya.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice. Payment shall be processed via bank transfer to the account specified in Section 2 of this Purchase Order. All amounts are denominated in Kenyan Shillings (KES).
- Confidentiality: The Psychiatrist shall maintain strict confidentiality regarding all patient information in line with the Kenyan Medical Code of Ethics. No patient data shall be disclosed to any third party without written consent, except where required by Kenyan law.
- Performance Period: This Purchase Order is valid for a period of three (3) months from the date of issue, covering the period from 1 July 2025 to 30 September 2025. Renewal shall be subject to mutual written agreement.
- Cancellation: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of cancellation, the Psychiatrist shall be compensated for all services rendered up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Nairobi, Kenya, in accordance with the Arbitration Act of Kenya. The courts of Kenya Nairobi shall have exclusive jurisdiction.
- Insurance: The Psychiatrist shall maintain valid professional indemnity insurance with a minimum cover of KES 5,000,000 throughout the duration of this Purchase Order.
