- Scope of Engagement: This Purchase Order authorises the Seller to provide all psychiatric and mental health services as itemised above. The lead Psychiatrist, Dr. Aisha Rahman, shall be the primary clinical contact and is registered with the Malaysian Medical Council (MMC Registration No. 20120045678). All services shall be rendered in compliance with the Malaysian Medical Council's Code of Ethics and the Mental Health Act 2001.
- Service Location: All in-person services shall be conducted at the Seller's registered clinic premises in Kuala Lumpur, Malaysia, or at the Buyer's designated facilities within the Malaysia Kuala Lumpur metropolitan area as mutually agreed in writing. Telehealth consultations shall utilise a HIPAA-equivalent secure platform compliant with Malaysian data protection standards.
- Payment Schedule: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid tax invoice from the Seller. Payment shall be made via bank transfer to the Seller's designated account. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Malaysian Contracts Act 1950.
- Confidentiality and Data Protection: Both parties acknowledge that all patient information, clinical records, and psychiatric assessments are strictly confidential. The Seller shall comply fully with the Personal Data Protection Act 2010 (Act 709) of Malaysia. No patient data shall be disclosed to third parties without written consent from the patient or a valid court order.
- Performance Standards: The Psychiatrist and clinical team shall maintain a minimum 95% appointment fulfilment rate. Cancellations must be communicated to the Buyer no fewer than 24 hours in advance. Failure to meet performance benchmarks for two consecutive quarters shall entitle the Buyer to terminate this Purchase Order with 30 days' written notice.
- Insurance and Liability: The Seller shall maintain professional indemnity insurance with a minimum coverage of MYR 2,000,000 per claim, issued by a licensed insurer in Malaysia. The Seller assumes full clinical liability for all psychiatric diagnoses, treatment decisions, and medication prescriptions issued under this Purchase Order.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. Upon termination, the Seller shall complete all in-progress patient care plans and transfer medical records to a successor Psychiatrist nominated by the Buyer within fourteen (14) days.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation under the Malaysian Mediation Centre. If unresolved within sixty (60) days, the matter shall be referred to arbitration in Kuala Lumpur, Malaysia, in accordance with the Arbitration Act 2005. The language of arbitration shall be English.
- Regulatory Compliance: The Seller warrants that all services provided under this Purchase Order comply with the regulations of the Malaysian Medical Council, the Ministry of Health Malaysia (MOH), and the Malaysian Pharmacy Council where medication dispensation is involved. The Buyer reserves the right to audit compliance records upon 14 days' notice.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or public health emergencies as declared by the Malaysian government.
