- Acceptance: This Purchase Order constitutes a binding offer. The Psychiatrist and Clínica de Salud Mental del Centro, S.C. shall confirm acceptance in writing within five (5) business days of receipt. Failure to respond within this period shall render this Purchase Order null and void.
- Service Delivery: All psychiatric services shall be performed at the provider's registered facility in Mexico City, Mexico, or via approved telemedicine platforms. The Psychiatrist shall maintain a valid professional license issued by the Secretaría de Salud and shall carry professional liability insurance with a minimum coverage of MXN 5,000,000.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Payment shall be processed via bank transfer (SPEI) to the account designated by the service provider. The buyer reserves the right to withhold payment for services not rendered in accordance with the scope defined in this Purchase Order.
- Confidentiality: The Psychiatrist shall adhere strictly to the Ley General de Salud, the Ley Federal de Protección de Datos Personales en Posesión de los Particulares, and all applicable data protection regulations in Mexico. All patient records, clinical notes, and diagnostic results shall be treated as strictly confidential and shall not be disclosed to any third party without written consent from the patient, except as required by law.
- Scope Modification: Any modification to the scope of psychiatric services, additional sessions, or changes in the treatment plan must be documented in a written addendum signed by both parties. No verbal agreements shall alter the terms of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with fifteen (15) days' written notice. In the event of early termination, the buyer shall be obligated to pay only for services actually rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States, with jurisdiction vested in the courts of Mexico City, Mexico. Any disputes shall first be subject to mediation before the Centro de Conciliación y Arbitraje of the Cámara de Comercio de la Ciudad de México.
- Professional Standards: The Psychiatrist shall exercise all services in accordance with the ethical code of the Sociedad Mexicana de Psiquiatría and the clinical guidelines established by the Instituto Nacional de Psiquiatría "Ramón de la Fuente" in Mexico City.
