Terms and Conditions of This Purchase Order
- This Purchase Order is issued by Lagos Metropolitan Health & Wellness Centre for the engagement of a qualified and registered Psychiatrist to provide comprehensive mental health services at its facility located in Nigeria Lagos. The Psychiatrist shall hold a valid Medical and Dental Council of Nigeria (MDCN) registration and a current Certificate of Registration as a Specialist in Psychiatry.
- All services described in this Purchase Order shall be rendered exclusively within the Nigeria Lagos metropolitan area, specifically at the purchasing entity's premises at 14B Adeola Odeku Street, Victoria Island, Lagos, Nigeria, unless otherwise agreed in writing for off-site consultations or emergency call-outs.
- The Psychiatrist shall maintain professional indemnity insurance with a minimum coverage of ₦50,000,000 (Fifty Million Naira) throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- Payment shall be made on a monthly basis within fourteen (14) calendar days of receipt of a valid invoice from the Psychiatrist. Payment shall be processed via bank transfer to the account designated by the Psychiatrist. All payments are subject to applicable Nigerian tax withholdings as prescribed by the Federal Inland Revenue Service (FIRS).
- The Psychiatrist shall comply with all data protection and patient confidentiality requirements as stipulated under the Nigeria Data Protection Act (NDPA) 2023 and the MDCN Code of Medical Ethics. All patient records generated in Nigeria Lagos shall be stored securely and in accordance with the facility's records management policy.
- This Purchase Order may be terminated by either party with a written notice of thirty (30) days. In the event of termination, the Psychiatrist shall be compensated for all services rendered up to the effective date of termination.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Nigeria Lagos, and failing resolution within sixty (60) days, the matter shall be referred to the courts of competent jurisdiction in Lagos State, Nigeria.
- The Psychiatrist shall submit a comprehensive monthly report detailing all consultations, treatments administered, patient outcomes, and any adverse events to the Medical Director of the facility in Nigeria Lagos by the fifth (5th) business day of each subsequent month.
- This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Psychiatrist and supersedes all prior negotiations, representations, or agreements, whether written or oral.
