1. Purpose and Scope of Purchase Order

This Purchase Order is issued by the Karachi Metropolitan Health & Wellness Trust to formally engage the services of a qualified Psychiatrist for the provision of comprehensive mental health consultation, diagnosis, and therapeutic intervention services. The engagement is specifically scoped for operations within Pakistan Karachi, covering the metropolitan districts of Karachi including Clifton, DHA, Gulshan-e-Iqbal, North Nazimabad, and Malir. This Purchase Order constitutes a binding agreement between the purchasing entity and the Psychiatrist for the duration and terms specified herein, in accordance with the regulations of the Pakistan Medical & Dental Council (PMDC) and the Sindh Health Department guidelines applicable in Pakistan Karachi.

3. Terms and Conditions

Qualification Requirement: The Psychiatrist engaged under this Purchase Order must hold a valid registration with the Pakistan Medical & Dental Council (PMDC) and a Fellowship in Psychiatry (FCPS) or equivalent. All credentials must be verifiable and current as of the date of this Purchase Order.
Service Location: All services rendered under this Purchase Order shall be conducted within the geographical boundaries of Pakistan Karachi, specifically the districts and localities enumerated in Section 2. The Psychiatrist shall maintain a registered clinical practice in Karachi, Sindh, Pakistan.
Payment Terms: Payment shall be made in monthly installments of PKR 236,667 (approximately) via bank transfer to the account designated by the Psychiatrist. Payment is due within fifteen (15) calendar days of receipt of the monthly service report. A 13% Sales Tax as applicable under the Sindh Sales Tax Act shall be added to the invoiced amount.
Confidentiality and Data Protection: The Psychiatrist shall adhere strictly to the Pakistan Personal Data Protection Bill (2023) and all patient records shall be maintained in compliance with PMDC ethical guidelines. No patient information shall be disclosed to the purchasing entity beyond aggregate statistical reports required for this Purchase Order.
Duration and Renewal: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance. Renewal shall be subject to mutual written agreement and a satisfactory performance review of the Psychiatrist's services in Pakistan Karachi.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Psychiatrist shall ensure a smooth transition of all ongoing patient care to a successor psychiatrist within Karachi, Pakistan, at no additional cost to the purchasing entity.
Liability and Insurance: The Psychiatrist shall maintain a valid professional indemnity insurance policy with a minimum coverage of PKR 10,000,000, issued by a licensed insurer operating in Pakistan. The Psychiatrist shall be solely liable for any malpractice or professional negligence arising from services rendered under this Purchase Order.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising shall be resolved through arbitration in Karachi, Sindh, Pakistan, in accordance with the Arbitration Act, 1940.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Pakistan Karachi, or public health emergencies declared by the Sindh government.
Compliance: The Psychiatrist shall comply with all applicable regulations of the Sindh Health Department, the Pakistan Medical & Dental Council, and the National Drug Regulatory Authority (DRAP) regarding the prescribing and dispensing of psychotropic medications within Pakistan Karachi.

4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of a Psychiatrist in Pakistan Karachi. This document, once countersigned, shall serve as the definitive procurement record for the Karachi Metropolitan Health & Wellness Trust's financial and operational records.
