- Licensing and Qualification: The Psychiatrist engaged under this Purchase Order must hold a valid specialist certificate in Psychiatry issued by the Ministry of Health of the Russian Federation, a current Moscow City medical practice license, and no fewer than ten (10) years of documented clinical experience in adult and adolescent psychiatry. Proof of licensure shall be submitted prior to the commencement of services.
- Service Location: All clinical services shall be delivered at the Consortium's designated facility in Moscow, Russia, or at such other location within the Russia Moscow administrative boundary as mutually agreed in writing. The Psychiatrist shall not delegate or subcontract any portion of the services outlined in this Purchase Order without prior written authorization from the Consortium's Medical Director.
- Confidentiality and Data Protection: The Psychiatrist shall adhere strictly to the provisions of Federal Law No. 152-FZ "On Personal Data" and all applicable Russian medical confidentiality regulations. Patient records, diagnostic findings, and treatment plans generated under this Purchase Order shall be stored in the Consortium's encrypted electronic health record system and shall not be disclosed to any third party absent a court order or written patient consent.
- Payment Schedule: Invoices shall be submitted on a monthly basis by the fifth (5th) calendar day of the following month. Payment shall be processed via bank transfer to the account specified by the Psychiatrist within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 0.05% per calendar day in accordance with Russian civil law.
- Performance Standards: The Psychiatrist is expected to maintain a minimum patient satisfaction score of 85% as measured by the Consortium's quarterly patient feedback surveys. Failure to meet this threshold for two consecutive quarters shall constitute grounds for review and potential termination of this Purchase Order with thirty (30) days' written notice.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and healthcare legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of Moscow, Russia.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Russia Moscow region.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Psychiatrist services in Russia Moscow.
