TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between NeuroMed Group LLC and the named Psychiatrist upon countersignature. All services shall be rendered at the practice location in Russia Saint Petersburg or via approved telemedicine platforms registered with the Ministry of Health of the Russian Federation.
- The Psychiatrist shall maintain full professional liability insurance with a minimum coverage of 5,000,000 RUB, valid throughout the duration of this Purchase Order. A copy of the insurance certificate must be provided prior to the commencement of services.
- All patient records, diagnostic data, and clinical documentation generated under this engagement shall be stored in compliance with Federal Law No. 152-FZ "On Personal Data" and the medical confidentiality standards established for psychiatric practice in Russia Saint Petersburg. No patient information shall be disclosed to NeuroMed Group beyond the scope of anonymized quarterly summaries.
- Payment shall be processed via bank transfer to the account designated by the Psychiatrist within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under the Civil Code of the Russian Federation.
- The Psychiatrist reserves the right to refer patients to additional specialists (neurologists, psychotherapists, or substance abuse counselors) within Russia Saint Petersburg. Any such referrals and associated costs must be pre-approved in writing by NeuroMed Group's procurement department before services are rendered.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Psychiatrist shall provide a transition plan ensuring continuity of care for all currently enrolled patients.
- All disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Arbitration Court of Saint Petersburg and the Leningrad Region, Russia. The governing law shall be the legislation of the Russian Federation.
- The Psychiatrist confirms that all services described in this Purchase Order comply with the ethical guidelines of the Russian Association of Psychiatrists and the professional standards established for psychiatric practice in Russia Saint Petersburg.
