1. This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and shall be interpreted in accordance with the Saudi Civil Transactions Law and applicable healthcare regulations in Saudi Arabia Jeddah.
2. The Psychiatrist and all supporting clinical staff engaged under this Purchase Order must hold valid, current licenses issued by the Saudi Ministry of Health and must be registered with the Saudi Medical Board. Proof of licensure shall be provided prior to the commencement of services.
3. All psychiatric services shall be delivered at the Jeddah Advanced Mental Health & Psychiatry Center premises in Saudi Arabia Jeddah, or at such alternative location mutually agreed upon in writing by both parties.
4. Strict confidentiality shall be maintained in accordance with Saudi data protection regulations. Patient records shall not be disclosed to the Purchasing Entity beyond the scope of the annual summary report specified in Line Item 06.
5. Payment shall be made in monthly installments of SAR 60,183.33 (inclusive of VAT) via bank transfer to the Service Provider's designated account, due within 30 days of receipt of a valid tax invoice.
6. The Service Provider warrants that all psychiatric treatments, medications, and therapeutic interventions shall comply with the latest SFDA-approved protocols and evidence-based clinical guidelines.
7. Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination, the Purchasing Entity shall be liable for services rendered up to the termination date.
8. Any disputes arising from this Purchase Order shall be resolved through amicable negotiation first, and failing that, through the competent courts in Jeddah, Saudi Arabia.
9. This Purchase Order becomes effective upon signature by both authorized representatives and remains valid for a period of twelve (12) months from the date of issue.
