All payments under this Purchase Order shall be processed in West African CFA Francs (XOF) via bank transfer to the account of the Psychiatrist as registered with the Ordre des Médecins du Sénégal. Invoices are to be submitted by the 5th of each month for services rendered in the preceding month. Payment shall be made within thirty (30) calendar days of invoice receipt and verification by the hospital's finance department. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Senegalese commercial law.
5. Terms and Conditions- This Purchase Order constitutes a binding agreement between Hôpital Général de Grand Dakar and the named Psychiatrist for the duration specified herein. Any modification to scope, pricing, or duration must be documented in a written amendment signed by both parties.
- The Psychiatrist shall maintain all required professional licenses, malpractice insurance (minimum coverage of 50,000,000 XOF), and continuing education credits as mandated by the Senegalese Ministry of Health and the Ordre des Médecins du Sénégal.
- All patient records, clinical notes, and psychiatric assessments generated under this engagement shall be stored in compliance with Senegalese data protection regulations (Loi n° 2008-12 du 25 janvier 2008) and the hospital's internal confidentiality protocols.
- The Psychiatrist shall adhere to the ethical standards of the World Psychiatric Association and the Senegalese medical code of conduct. Any breach of patient confidentiality or professional ethics shall constitute grounds for immediate termination of this Purchase Order.
- Services are to be rendered primarily at the Hôpital Général de Grand Dakar facility and the Almadies outpatient clinic, both located within the Senegal Dakar urban health zone. Community outreach activities in surrounding communes require prior written approval from the hospital's medical director.
- In the event of force majeure (including but not limited to public health emergencies, civil unrest, or government-mandated closures), either party may suspend obligations under this Purchase Order with 72 hours' written notice. No penalty shall apply during the suspension period.
- Disputes arising from this Purchase Order shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent commercial court of Senegal Dakar in accordance with the Senegalese Code of Civil Procedure.
- The Psychiatrist shall submit a quarterly performance report to the hospital's medical board, detailing patient outcomes, treatment adherence rates, and any adverse events encountered during the reporting period.
- This Purchase Order may be terminated by either party with sixty (60) days' written notice. Upon termination, all outstanding invoices for services already rendered shall be settled within the standard payment window.
