- This Purchase Order constitutes a formal request for Psychiatrist professional services to be rendered in and around the Johannesburg metropolitan area, South Africa. All services must comply with the Health Professions Council of South Africa (HPCSA) regulations and the Mental Health Care Act 17 of 2002.
- The Psychiatrist named in Section 2 is the sole authorised provider for this Purchase Order. Substitution of the Psychiatrist or any delegated practitioner requires prior written approval from MedCare Corporate Wellness Group (Pty) Ltd.
- All psychiatric consultations, assessments, and interventions referenced in this Purchase Order shall take place at the provider's registered practice in Bryanston, Johannesburg, or via the approved telehealth platform. No services shall be rendered outside the South Africa Johannesburg metropolitan area without a separate written amendment to this Purchase Order.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number (PO-2025-JHB-PSY-0047). Payment will be processed via electronic funds transfer (EFT) to the bank account specified in Section 2.
- The Psychiatrist shall maintain full professional indemnity insurance with a minimum cover of R 5,000,000 and shall provide a certificate of insurance upon request. All patient records and psychiatric documentation must be stored in compliance with the Protection of Personal Information Act (POPIA) 4 of 2013.
- Confidentiality: All psychiatric records, diagnostic findings, and treatment plans generated under this Purchase Order are strictly confidential. The Psychiatrist shall not disclose any employee health information to MedCare Corporate Wellness Group (Pty) Ltd beyond the scope of the fitness-for-work reports explicitly ordered in Line 05.
- Cancellation: MedCare Corporate Wellness Group (Pty) Ltd reserves the right to cancel or reduce the quantity of any line item in this Purchase Order with a minimum of fourteen (14) days' written notice. Cancellations of the monthly retainer (Line 06) require thirty (30) days' notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved in accordance with the laws of the Republic of South Africa. The parties agree to first attempt mediation in Johannesburg, South Africa, before resorting to litigation in the High Court of South Africa, Gauteng Division, Johannesburg.
- This Purchase Order is governed by the Consumer Protection Act 68 of 2008 and the Mental Health Care Act 17 of 2002. The Psychiatrist acknowledges that all services rendered under this Purchase Order are subject to the ethical codes of the South African Psychiatric Association (SAPSA).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in South Africa Johannesburg, or public health emergencies.
