- This Purchase Order is governed by the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved under the jurisdiction of the Seoul Central District Court in South Korea Seoul.
- The Psychiatrist engaged under this Purchase Order must maintain a valid medical license issued by the Seoul Metropolitan Medical Board and carry professional liability insurance with a minimum coverage of KRW 500,000,000.
- All patient data handled by the Psychiatrist shall comply with the Korean Personal Information Protection Act (PIPA) and the Medical Service Act. Data storage and transmission must occur exclusively within South Korea Seoul-based servers.
- The Psychiatrist shall adhere to the Korean Medical Association's Code of Ethics and the specific clinical protocols established by Han River Mental Health & Wellness Center.
- Payment shall be processed within thirty (30) calendar days of receipt of a valid tax invoice (세금계산서) issued in accordance with Korean tax regulations.
- The Buyer reserves the right to modify, suspend, or cancel this Purchase Order with a written notice of fourteen (14) days. In the event of cancellation, the Psychiatrist shall be compensated for services rendered up to the cancellation date.
- All services must be performed at the facility located in Gangnam-gu, Seoul, South Korea, unless otherwise agreed in writing by both parties.
- The Psychiatrist shall submit monthly service reports detailing patient encounters, diagnoses, treatments administered, and any adverse events to the Director of Clinical Operations.
- This Purchase Order does not constitute an employment relationship. The Psychiatrist is engaged as an independent contractor for the duration specified herein.
- Any amendments to this Purchase Order must be made in writing and signed by both the Buyer's authorized representative and the Psychiatrist.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the provision of Psychiatrist services in South Korea Seoul. This document constitutes a binding agreement effective from the date of the last signature.
