The Psychiatrist engaged under this Purchase Order shall provide all psychiatric services at the designated clinical premises located in Spain Madrid, specifically at Calle de Serrano 142, 28006 Madrid. The Psychiatrist is required to maintain a valid professional registration with the Colegio Oficial de Médicos de Madrid, hold current malpractice insurance with a minimum coverage of € 1,000,000, and adhere to the ethical code of the Spanish psychiatric profession. All patient records generated in Spain Madrid under this contract shall be stored in compliance with the Spanish Health Data Regulation and shall not be transferred outside the European Economic Area without explicit patient consent.
Payment for all services rendered under this Purchase Order shall be made via direct bank transfer (SEPA) to the account designated by the Psychiatrist. Invoices must be submitted monthly, no later than the 5th business day of the following month, and must include the Psychiatrist's NIF, the issuing entity's NIF, a detailed breakdown of sessions, and the applicable IVA rate. - 5.1 This Purchase Order constitutes a binding agreement between Clínica Integral de Salud Mental, S.L. and the Psychiatrist for the duration of the service period specified herein, unless terminated earlier by mutual written consent.
- 5.2 The Psychiatrist shall maintain strict confidentiality of all patient information in accordance with Spanish medical secrecy law (Ley 41/2002, Ley Básica de Autonomía del Paciente) and the GDPR as applied in Spain Madrid.
- 5.3 Any modification to the scope, volume, or pricing of services must be documented in a written addendum to this Purchase Order, signed by both parties.
- 5.4 The Psychiatrist shall notify the issuing entity in writing at least fifteen (15) business days prior to any planned absence exceeding three (3) consecutive working days, and shall arrange for a qualified substitute Psychiatrist registered in Spain Madrid.
- 5.5 Disputes arising from this Purchase Order shall be resolved through the competent courts of Madrid, Spain, in accordance with Spanish civil and commercial law.
- 5.6 This Purchase Order is governed by the laws of the Kingdom of Spain, and all services shall be performed within the jurisdiction of Spain Madrid.
