• 4.1 Service Delivery: All psychiatric services under this Purchase Order shall be performed by the named Psychiatrist or, in the event of documented unavailability, by a substitute Psychiatrist of equivalent qualifications approved in writing by the Buyer. Services are to be rendered within the Turkey Istanbul metropolitan area, specifically at the addresses listed in Sections 1 and 2.
• 4.2 Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of an itemized invoice from the Psychiatrist's practice. Payment shall be processed via bank transfer to the account designated by the supplier. The total contract value under this Purchase Order is TRY 321,360.00 inclusive of VAT.
• 4.3 Confidentiality: The Psychiatrist shall adhere to all provisions of the Turkish Personal Data Protection Law (KVKK, Law No. 6698) and the Turkish Medical Ethics Code. All patient records, session notes, and diagnostic data generated under this Purchase Order are classified as confidential and shall not be disclosed to any third party without explicit written consent from the patient and the Buyer.
• 4.4 Service Period: This Purchase Order is valid for a period of twelve (12) months from the date of issue, covering the period from 15 June 2025 through 14 June 2026. The Psychiatrist is expected to maintain availability of no fewer than twenty (20) clinical hours per week within Turkey Istanbul.
• 4.5 Cancellation and Rescheduling: Sessions may be rescheduled with a minimum of forty-eight (48) hours' notice. Cancellations made within twenty-four (24) hours of a scheduled session will be billed at fifty percent (50%) of the applicable session fee as stated in this Purchase Order.
• 4.6 Regulatory Compliance: The Psychiatrist warrants that all services are delivered in full compliance with the regulations of the Turkish Ministry of Health, the Istanbul Provincial Directorate of Health, and the Turkish Psychiatric Association (Türk Psikiyatri Derneği). Any violation of professional licensing conditions in Turkey Istanbul shall constitute grounds for immediate termination of this Purchase Order.
• 4.7 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in accordance with the Turkish Code of Civil Procedure.
