3. Scope of Services – Psychiatrist Consultation and Treatment
This Purchase Order is issued by Al Noor Medical Group LLC to engage the services of a licensed Psychiatrist, Dr. Khalid Al Mansoori, operating from MindCare Psychiatry Clinic in Abu Dhabi, United Arab Emirates. The Psychiatrist shall provide comprehensive mental health assessment, diagnosis, psychotherapy, and pharmacological management services to eligible employees of the Buyer as part of the Corporate Employee Wellness Programme for the third quarter of 2025. All clinical services shall be delivered in accordance with the standards set by the Department of Health (DHA) of Abu Dhabi and the regulatory framework governing psychiatric practice in the United Arab Emirates.

5. Terms and Conditions
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific regulations of the Abu Dhabi Emirate, including the DHA regulatory framework for psychiatric and mental health services.
- Service Delivery: All services rendered by the Psychiatrist shall be conducted at the MindCare Psychiatry Clinic premises located in Abu Dhabi, United Arab Emirates, or at such other location mutually agreed upon in writing. The Psychiatrist shall maintain a valid DHA professional license throughout the duration of this Purchase Order.
- Confidentiality: The Psychiatrist shall adhere to the strictest standards of patient confidentiality as mandated by UAE federal health law and DHA Abu Dhabi regulations. No employee health records, psychiatric diagnoses, or treatment details shall be disclosed to the Buyer beyond the scope of the quarterly progress report. All data shall be stored in compliance with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice issued by the Psychiatrist's practice. Payment shall be processed via bank transfer to the account designated by the supplier. Late payments shall attract interest at the rate of 2% per month as per UAE commercial practice.
- Service Period: The services under this Purchase Order are valid from 1 July 2025 to 30 September 2025. Any services not utilized within this period shall be forfeited unless a written extension is agreed upon by both parties.
- Quality Assurance: The Psychiatrist shall maintain a minimum of 95% appointment fulfillment rate. Cancellations must be communicated at least 24 hours in advance. The Buyer reserves the right to request a replacement Psychiatrist of equivalent DHA-licensed qualification should service standards not be met.
- Insurance and Liability: The Psychiatrist shall maintain valid professional indemnity insurance with a minimum coverage of AED 5,000,000, as required for psychiatric practitioners in Abu Dhabi, United Arab Emirates. A certificate of insurance shall be provided upon request.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for services already rendered and documented up to the date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent courts of Abu Dhabi, United Arab Emirates, or to arbitration under the rules of the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC).
- Compliance: The Psychiatrist warrants full compliance with all applicable UAE federal and Abu Dhabi emirate-level regulations, including but not limited to DHA clinical practice guidelines, the UAE Mental Health Law, and anti-corruption provisions under UAE Federal Law.
6. Acceptance and Authorization
This Purchase Order constitutes a formal and binding request for the psychiatric services described herein. By signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and pricing outlined in this document. This Purchase Order is valid only for the Psychiatrist services specified and shall not be construed as a general employment or partnership agreement.
