TERMS AND CONDITIONS- This Purchase Order is issued by Al Noor Healthcare Group LLC, a company registered in the United Arab Emirates, for the procurement of professional Psychiatrist services to be rendered in Dubai, United Arab Emirates. All services shall be delivered in accordance with the standards set by the Dubai Health Authority (DHA) and the UAE Ministry of Health and Prevention.
- The Psychiatrist, Dr. Sarah Al Mansouri, shall maintain a valid DHA specialist license throughout the duration of this Purchase Order. Any lapse in licensure shall constitute grounds for immediate termination of this agreement without penalty to the purchasing party.
- All psychiatric consultations, assessments, and therapeutic interventions shall be conducted at the MindBridge Psychiatry Clinic located in Jumeirah, Dubai, United Arab Emirates, unless otherwise specified in the line items above. Telehealth sessions shall be conducted via a DHA-approved secure digital platform.
- Confidentiality of all patient records and mental health data shall be maintained in strict compliance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. No patient information shall be disclosed to any third party without written consent, except as required by UAE law.
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice issued in accordance with UAE Federal Tax Authority regulations. Invoices must include the vendor's Tax Registration Number (TRN) and applicable 5% VAT.
- The Psychiatrist shall provide a written progress summary to the Al Noor Healthcare Group Wellness Coordinator on a monthly basis. All clinical documentation shall be maintained in both Arabic and English to comply with UAE healthcare record-keeping standards.
- This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless renewed in writing by both parties. Either party may terminate this Purchase Order with thirty (30) days' written notice.
- All disputes arising from this Purchase Order shall be governed by the laws of the United Arab Emirates and shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
- The Psychiatrist shall carry professional indemnity insurance with a minimum coverage of AED 2,000,000, valid throughout the term of this Purchase Order, and shall provide a certificate of insurance upon request.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall not be binding.
