- Contract Duration: This Purchase Order covers a service period of twelve (12) months, commencing on 01 July 2025 and concluding on 30 June 2026, unless renewed by mutual written agreement of both parties.
- Payment Terms: Payment shall be made in monthly installments within fifteen (15) calendar days of receipt of the Psychiatrist's itemized service report and valid VAT invoice. Payment shall be transferred via bank wire to the account designated by Dr. Nguyen Van Minh. All payments are subject to the applicable personal income tax withholding as mandated by the Vietnam Tax Code.
- Working Hours & Location: The Psychiatrist shall render services at the Saigon Wellness Medical Group facility located at 128 Nguyen Hue Boulevard, District 1, Ho Chi Minh City, Vietnam. Standard working hours are Monday through Saturday, 07:00 to 17:00, with on-call availability for emergency psychiatric interventions as outlined in Item 07.
- Licensing & Compliance: The Psychiatrist warrants that he holds a valid medical practice license issued by the Ho Chi Minh City Department of Health and that all services rendered comply with the Law on Medical Practice (2023), the Law on Mental Health (2016), and all applicable decrees of the Ministry of Health of Vietnam. The Psychiatrist shall maintain professional liability insurance with a minimum coverage of VND 5,000,000,000 throughout the contract term.
- Confidentiality & Data Protection: The Psychiatrist shall adhere strictly to patient confidentiality obligations under Vietnamese law and the facility's data protection policies. All patient records, psychiatric assessments, and treatment plans shall be stored in accordance with the regulations of the Ho Chi Minh City Health Authority. Unauthorized disclosure of patient information shall constitute grounds for immediate termination of this Purchase Order.
- Performance Standards: The Psychiatrist shall maintain a minimum patient satisfaction score of 85% as measured by quarterly internal audits. Failure to meet this standard for two consecutive quarters shall trigger a formal performance review and potential amendment or termination of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In cases of gross professional misconduct, violation of medical ethics, or loss of medical license, the Buyer reserves the right to terminate immediately without prior notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising hereunder shall be resolved through mediation in Ho Chi Minh City, and failing mediation, through the competent People's Court of District 1, Ho Chi Minh City.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the authorities of Vietnam Ho Chi Minh City.
Regulatory Notice: All psychiatric services procured under this Purchase Order must be conducted in compliance with the Ho Chi Minh City People's Committee Decision No. 12/2024/QD-UBND on the management of mental health services in the city. The Psychiatrist is required to submit monthly activity reports to the District 1 Health Station and to maintain a minimum of 20 continuing medical education (CME) credits per year as mandated by the Vietnam Medical Association. The facility operates under the jurisdiction of the Ho Chi Minh City Department of Health, and all service delivery must align with the city's 2025–2030 Mental Health Development Plan.
This Purchase Order is authorized and approved by the undersigned representatives of both parties.
