This Purchase Order is issued by the Harare Central Hospital Authority to engage the services of a qualified Psychiatrist based in Zimbabwe Harare to provide specialized psychiatric consultation, diagnosis, and ongoing treatment for patients referred from the general medical wards. The Psychiatrist shall operate in accordance with the standards set by the Zimbabwe Medical and Dental Council and the Zimbabwe National Mental Health Policy. All services rendered under this Purchase Order shall be conducted within the Avondale Medical Centre premises in Harare, Zimbabwe, or at such other location in Zimbabwe Harare as mutually agreed upon in writing.

5. TERMS AND CONDITIONS

Scope of Engagement: The Psychiatrist engaged under this Purchase Order shall provide all psychiatric services in full compliance with the Zimbabwe Medical and Dental Council (ZMDC) code of professional conduct and the Zimbabwe National Mental Health Policy. The Psychiatrist shall maintain valid professional indemnity insurance throughout the duration of this Purchase Order.
Duration: This Purchase Order is valid for a period of six (6) months from the date of issue, commencing 01 August 2025 and concluding 31 January 2026, unless terminated earlier by mutual written agreement between the parties.
Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Psychiatrist. Invoices shall be submitted monthly by the 5th of the following month. All payments shall be made in United States Dollars (USD) via bank transfer to the account specified in Section 2. The total value of this Purchase Order is Forty-Two Thousand Nine Hundred and Fifty US Dollars (USD 42,950.00).
Confidentiality: The Psychiatrist shall maintain strict confidentiality of all patient records and clinical information in accordance with the Zimbabwe Data Protection Act (Chapter 24:08) and the Medical and Dental Council of Zimbabwe professional guidelines. No patient information shall be disclosed to any third party without written consent.
Location of Services: All services under this Purchase Order shall be rendered at the Avondale Medical Centre, Harare, Zimbabwe, or at the Harare Central Hospital premises. The Psychiatrist shall be available for emergency call-outs within the Zimbabwe Harare metropolitan area within a maximum response time of two (2) hours.
Quality Assurance: The Psychiatrist shall submit quarterly performance reports to the Procurement Officer detailing the number of patients seen, treatment outcomes, and any adverse events. The Harare Central Hospital Authority reserves the right to conduct periodic quality audits of the psychiatric services delivered under this Purchase Order.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Psychiatrist shall be compensated for all services rendered up to the date of termination. The Harare Central Hospital Authority may terminate this Purchase Order immediately in the event of professional misconduct, loss of ZMDC registration, or breach of confidentiality obligations.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from this Purchase Order shall be resolved through the Zimbabwe Arbitration Act or the competent courts of Harare, Zimbabwe.
Compliance: The Psychiatrist warrants that all services provided under this Purchase Order comply with the Zimbabwe National Health Act, the Mental Health Act (Chapter 16:01), and all applicable regulations of the Ministry of Health and Child Care, Zimbabwe.
