This Purchase Order is issued by Algiers Corporate Wellness Group SARL to formally engage the services of a qualified Psychologist for the provision of corporate mental health support, employee counseling, and psychological assessment services. - Professional Qualification: The Psychologist engaged under this Purchase Order must hold a valid license issued by the Algerian Ministry of Health and be a registered member in good standing with the National Order of Psychologists of Algeria. A certified copy of the license and registration certificate shall be attached to this Purchase Order as Annex A.
- Service Location: All services shall be performed within the administrative boundaries of Algeria Algiers. The primary service location is the buyer's headquarters at 42, Boulevard Zighout Youcef, Hydra, Algiers. The Psychologist may also conduct sessions at the registered clinic in Bab El Oued, Algiers, with prior written consent from the buyer.
- Payment Terms: Payment shall be made in two (2) equal installments of 1,023,400 DZD each. The first installment is due within thirty (30) calendar days of the date of this Purchase Order. The second installment is due upon completion of the full six-month service period, subject to satisfactory delivery of all line items. Payment shall be made via bank transfer to the Psychologist's account at Bank of Algeria, Branch Algiers Centre.
- Confidentiality: The Psychologist shall maintain strict professional confidentiality in accordance with Article 48 of the Algerian Penal Code and the ethical code of the National Order of Psychologists. No client records, session notes, or assessment results shall be disclosed to any third party without the written consent of the client, except where required by Algerian law.
- Compliance with Algerian Law: This Purchase Order and all services rendered hereunder shall comply with the Algerian Labor Code (Law No. 90-11 of April 27, 1990, as amended), the Algerian Civil Code, and all applicable regulations of the Wilaya of Algiers regarding the practice of psychology and mental health services.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the buyer shall pay for all services rendered up to the date of termination, pro-rated on a monthly basis.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within fifteen (15) days, the dispute shall be referred to the competent commercial court of Algiers, Algeria, in accordance with the Algerian Code of Civil and Commercial Procedure.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as declared by the Algerian authorities in Algiers.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of the Psychologist's professional services as described herein. This document is issued in two (2) original copies, one for each party, both bearing equal legal validity under Algerian law.
