Professional Qualification: The Psychologist shall maintain an active registration with the Colegio de Psicólogos de la Ciudad Autónoma de Buenos Aires throughout the entire contract period. A copy of the current professional license must be provided upon request by the Purchasing Department.
Legal Compliance: All services rendered under this Purchase Order shall comply with Argentine national legislation, including but not limited to Ley 26.390 (Mental Health Law), Ley 27.590 (Gender Identity Law), and applicable regulations of the Ciudad Autónoma de Buenos Aires. The Psychologist shall adhere to the ethical code established by the Argentine Psychological Association (AAP).
Confidentiality: The Psychologist guarantees absolute professional secrecy in accordance with Article 10 of Ley 26.390. No identifiable employee data shall be disclosed to the company. Only aggregated, anonymized statistical information shall be included in monthly reports.
Place of Performance: All services shall be performed at the company's offices located in Buenos Aires, Argentina, or at such other location within the city as mutually agreed in writing. Remote sessions via encrypted video conferencing are permitted for up to 20% of individual consultations.
Payment and Taxation: Invoices shall be issued in Argentine Pesos (ARS) with applicable IVA (21%) and Ganancias withholding as per Argentine tax regulations. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via electronic bank transfer to the CBU/CVU account designated by the Psychologist.
Price Adjustment: Monthly fees are subject to adjustment based on the Consumer Price Index (IPC) published by INDEC for the Buenos Aires metropolitan area, applied quarterly. The Psychologist shall notify the Purchasing Department in writing at least fifteen (15) days prior to any adjustment.
Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Psychologist shall ensure continuity of care for any ongoing therapeutic processes and provide appropriate referral to a successor professional in Buenos Aires.
Insurance: The Psychologist shall maintain professional liability insurance (seguro de responsabilidad profesional) with a minimum coverage of ARS 50,000,000, valid throughout the contract term in the jurisdiction of Buenos Aires, Argentina.
Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Buenos Aires, Argentina, in accordance with the rules of the Cámara de Comercio de Buenos Aires. If mediation fails, the competent courts of the Ciudad Autónoma de Buenos Aires shall have exclusive jurisdiction.
Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Buenos Aires metropolitan area.
