1. Description of Services — Psychologist Professional EngagementThis Purchase Order is issued by Instituto de Salud Mental de Córdoba S.A. to formally engage the services of a licensed Psychologist operating within the jurisdiction of Argentina Córdoba. - Professional Qualification: The Psychologist engaged under this Purchase Order must hold a valid matrícula issued by the Colegio de Psicólogos de la Provincia de Córdoba and maintain current professional liability insurance. The Psychologist shall provide proof of registration prior to the commencement of services in Argentina Córdoba.
- Service Location: All services shall be rendered at the designated clinical facility located in the city of Córdoba, Province of Córdoba, Argentina, unless otherwise agreed in writing by both parties. Remote telehealth sessions are permitted only in compliance with the regulations of the Ministerio de Salud de la Nación.
- Payment Terms: Payment shall be made in monthly installments within 30 calendar days of receipt of the corresponding invoice (Factura A). The Psychologist shall issue invoices in accordance with AFIP regulations applicable in Argentina Córdoba. Late payments shall accrue interest at the rate established by the Banco de la Nación Argentina.
- Confidentiality: The Psychologist shall maintain strict confidentiality of all patient records and clinical information in compliance with Ley 25.326 (Ley de Protección de los Datos Personales) and the ethical code of the Colegio de Psicólogos. No patient data shall be disclosed to the purchasing entity beyond aggregate statistical reports.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination. The purchasing entity reserves the right to terminate immediately in cases of professional misconduct or loss of matrícula.
- Regulatory Compliance: The Psychologist shall comply with all applicable laws and regulations of the Province of Córdoba and the national government of Argentina, including but not limited to Ley 26.529 (Ley de Salud Mental), resolutions of the Ministerio de Salud de la Provincia de Córdoba, and standards set by the Comisión Nacional de Salud Mental.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in the city of Córdoba, Argentina. If mediation fails, the matter shall be submitted to the competent civil and commercial courts of the city of Córdoba, Province of Córdoba, Argentina.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Argentina Córdoba.
This Purchase Order constitutes a binding agreement between the parties upon signature. The Psychologist acknowledges receipt of this document and agrees to the terms, conditions, and scope of services described herein. This Purchase Order is governed by the civil and commercial laws of the Argentine Republic and the specific regulations of the Province of Córdoba.
