All services under this Purchase Order shall be rendered at the above Brussels address or at the Psychologist's registered practice in Brussels, Belgium, as mutually agreed per session.

This Purchase Order authorizes the engagement of a qualified Psychologist to provide professional mental health and psychological support services to employees of Brussels Corporate Wellness & Mental Health Services S.A. and its affiliated entities operating within the Brussels-Capital Region, Belgium. The Psychologist shall hold a valid registration with the Belgian RIZIV/INAMI and shall comply with all professional ethical standards set forth by the Belgian Psychologists' Association (APB).

• 5.1 This Purchase Order constitutes a binding agreement between Brussels Corporate Wellness & Mental Health Services S.A. (hereinafter "the Purchaser") and the named Psychologist (hereinafter "the Service Provider") for the provision of psychological services in Brussels, Belgium.
• 5.2 The Psychologist warrants that all services shall be performed in full compliance with the Belgian Law of 10 May 2015 on the professions of psychologist, the RIZIV/INAMI professional regulations, and the Code of Ethics of the Belgian Psychologists' Association.
• 5.3 All psychological data, session notes, and client records shall be handled in strict accordance with the Belgian Data Protection Act of 30 July 2018 and the EU General Data Protection Regulation (GDPR). No personal data shall be transferred outside the European Economic Area.
• 5.4 The Psychologist shall maintain professional liability insurance with a minimum coverage of EUR 1,000,000 per claim, as required under Belgian professional practice regulations. A certificate of insurance shall be provided prior to the commencement of services.
• 5.5 Invoicing shall be performed monthly in arrears. Each invoice must reference this Purchase Order number (PO-2025-BRU-00487), include the Psychologist's Belgian VAT number, and be submitted to the Purchaser's accounts payable department in Brussels.
• 5.6 The Purchaser reserves the right to audit service delivery records and session logs (in anonymised form) on a quarterly basis to ensure compliance with the scope defined in this Purchase Order.
• 5.7 Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination, the Psychologist shall be compensated for services rendered up to the termination date, and a transition plan for ongoing clients shall be provided.
• 5.8 This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising hereunder shall be submitted to the competent courts of Brussels, Belgium.
• 5.9 The Psychologist shall not subcontract any portion of the services outlined in this Purchase Order without prior written consent from the Purchaser.
• 5.10 All communications, reports, and documentation related to this Purchase Order shall be conducted in French, Dutch, or English, as applicable to the Brussels-Capital Region's multilingual framework.

By signing below, both parties acknowledge and accept the terms, conditions, and scope of services defined in this Purchase Order for the engagement of the Psychologist in Brussels, Belgium.
