5. Services requiring on-site presence at the Andes Corporate Wellness offices in Las Condes, Chile Santiago, shall be scheduled no fewer than five (5) business days in advance. The Psychologist shall provide a minimum of two (2) hours' notice for any cancellation or rescheduling of sessions.
6. This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of early termination, the Psychologist shall be compensated for all services rendered up to the termination date, and a final settlement report shall be submitted within fifteen (15) business days.
7. Any disputes arising from this Purchase Order shall be resolved through mediation in Chile Santiago before submission to the competent courts of the Santiago de Chile judicial district. The governing law shall be that of the Republic of Chile.
8. The Psychologist warrants that all psychological instruments, assessment tools, and therapeutic methodologies employed are current, validated, and appropriate for the Chilean population context in Chile Santiago. The Psychologist shall provide evidence of continuing professional development (at least 20 hours annually) upon request.
9. This Purchase Order does not create an employer-employee relationship. The Psychologist operates as an independent professional service provider and is responsible for their own tax obligations, including the payment of IVA (19%) as applicable under Chilean tax law.
10. All intellectual property in reports, assessments, and organizational recommendations produced under this Purchase Order shall belong to Andes Corporate Wellness S.A. upon full payment. The Psychologist retains the right to use anonymized, aggregated data for academic or professional development purposes.
